1. INTRODUCTION AND ACCEPTANCE

These Terms and Conditions ("Terms") constitute a legally binding agreement between Mada Consultant, a Wyoming corporation with registered address at 1021 E Lincolnway, Suite #8951, Cheyenne, WY 82001 ("Company," "we," "us," or "our"), and you ("Client," "you," or "your") governing your use of our website and business consultation services.

2. SERVICES OFFERED

The Company provides business consultation services primarily focused on:

Process improvement and optimization
Business process automation
Back office setup and enhancement
Operational efficiency consulting
Digital transformation advisory
Workflow design and implementation

3. GEOGRAPHIC SCOPE

Our services are primarily offered to clients located in the Middle East and North Africa ("MENA") region and the Gulf Cooperation Council ("GCC") countries.

4. CLIENT OBLIGATIONS

4.1 Accurate Information

You agree to provide accurate, current, and complete information during service engagement.

4.2 Cooperation

You agree to provide timely access to personnel, data, systems, and facilities reasonably necessary.

5. FEES AND PAYMENT

Fees for services will be specified in the applicable SOW. Unless otherwise specified, invoices are due within thirty (30) days. Late payments may incur interest charges at the rate of 1.5% per month.

6. INTELLECTUAL PROPERTY RIGHTS

Each party retains all rights to its pre-existing intellectual property. Upon full payment, Client shall own the final deliverables specifically created for them, excluding Company proprietary methodologies.

7. CONFIDENTIALITY

Each party agrees to maintain the confidentiality of the other party's Confidential Information and use such information only for purposes of the engagement. This survives for five (5) years following termination.

8. DATA PROTECTION AND PRIVACY

Both parties agree to comply with applicable data protection laws, including regulations in the MENA and GCC regions.

9. WARRANTIES AND DISCLAIMERS

The Company warrants professional performance consistent with industry standards but does not guarantee specific results or outcomes.

10. LIMITATION OF LIABILITY

The Company's total liability shall not exceed the total fees paid by the Client in the twelve (12) months preceding the event.

11. INDEMNIFICATION

Client agrees to indemnify the Company against claims arising from breach of terms, law violations, or infringement related to provided materials.

12. TERM AND TERMINATION

Either party may terminate for convenience with thirty (30) days' written notice. Immediate termination is possible for material breach or insolvency.
